Welcome to Lumina Weave! These Terms of Service ("Terms") govern your engagement with Lumina Weave. By accessing or using our services, you agree to comply with and be bound by these Terms. We encourage you to read them carefully to understand your rights and responsibilities.

Our commitment is to transparency and mutual understanding, ensuring a smooth and successful collaboration on your digital projects. These Terms specifically apply to Custom Website Design, UI/UX Prototyping, Front-end Development, Back-end Integration, E-commerce Solutions, Content Management Systems (CMS), Brand Identity & Logo Design, Digital Marketing Strategy, SEO Optimization, Website Maintenance & Support, Responsive Design Implementation, and Portfolio Showcase Development services provided by Lumina Weave.

Service Agreements and Project Scope

Each project undertaken by Lumina Weave is governed by a detailed Service Agreement, which outlines the specific scope of work agreed upon. This agreement serves as the foundational document for our partnership, clearly defining deliverables, timelines, and responsibilities for both Lumina Weave and the client.

  • Project Scope Definition: We work closely with you to define clear, measurable project objectives and deliverables. Any changes to the agreed-upon scope will be managed through a formal change order process, ensuring transparency and mutual consent.
  • Deliverable Specifications: Each Service Agreement specifies the exact nature and quantity of deliverables, along with acceptance criteria that must be met for project completion stages.
  • Timeline Commitments: Project timelines and milestone requirements are established in the Service Agreement, reflecting our commitment to timely delivery and your commitment to providing necessary feedback and resources.
  • Client Responsibilities: Successful outcomes depend on strong collaboration. Clients are expected to provide timely feedback, necessary content, access credentials, and participate actively in approval processes as outlined in the agreement.

Payment Terms and Billing Policies

Lumina Weave's payment terms are designed to be fair and transparent, supporting the continuous progress of your project. All payment schedules, fees, and policies are clearly detailed in your Service Agreement.

  • Payment Schedules: Projects are typically broken into milestone-based payments, with an initial deposit due upon agreement signing. Subsequent payments are tied to the completion and approval of defined project milestones.
  • Late Payment Policy: Invoices are due upon receipt. A late fee of 1.5% per month (or the maximum allowed by law) may be applied to overdue balances. Services may be paused until outstanding payments are settled.
  • Refund and Cancellation Terms: Refund eligibility and project cancellation terms differ based on project phase and work completed, as stipulated in your specific Service Agreement. Our goal is always to find a mutually agreeable solution.
  • Currency and Payment Methods: All transactions are conducted in United States Dollars (USD). We accept payments via bank transfer, major credit cards, and other methods as specified in your invoice.

Intellectual Property and Usage Rights

Clarity on intellectual property rights is crucial. Lumina Weave ensures that upon final payment, you, the client, own the intellectual property rights to the custom design and code developed specifically for your project.

  • Client Ownership: Upon full and final payment, you will own the intellectual property rights to the unique design elements, custom code, and content created specifically for your project by Lumina Weave. This excludes third-party licensed materials.
  • Lumina Weave Portfolio Rights: Lumina Weave retains the right to display the completed project as part of our portfolio and marketing materials, showcasing our creative capabilities. This includes use on our website, social media, and in presentations.
  • Third-Party Content and Licensing: We will advise on and, where necessary, facilitate the licensing of any third-party fonts, stock images, plugins, or software components used in your project. Clients are responsible for maintaining these licenses.
  • Code and Design Asset Ownership: While custom code and unique design elements are transferred to you, underlying frameworks, open-source libraries, and proprietary development tools used by Lumina Weave remain our property or the property of their respective owners.
